KPN and ABP Launch ‘Althio’ Tower Company

KPN and ABP have officially launched their joint venture, Althio, resulting in the creation of a new open tower company.

This comes following the signing of the agreement on June 5, 2024, and the approval of the Dutch Authority for Consumers and Markets (ACM) on February 6, 2025. With regulatory clearance in place, Althio began its operations last Friday.

The partnership aims to strengthen the Dutch mobile network by improving the management of network assets, including harmonizing and simplifying lease agreements and ensuring the infrastructure remains accessible to various mobile operators and frequency users. Althio, the newly formed company, will oversee around 3,800 mobile transmission sites, including masts and rooftop locations, through the consolidation of assets from KPN, NOVEC (owned by TenneT), and Open Tower Company (OTC), a portfolio company of ABP. 

This consolidation is expected to enhance operational efficiencies, support the expansion and densification of the mobile network to meet the growing demand for data services, and provide a solid foundation for deploying advanced technologies, including 5G networks.

As part of the transaction, KPN has agreed to an upfront cash payment of approximately EUR 120 million to NOVEC and OTC’s current shareholders for their stakes in the companies and the amended lease terms. KPN will hold a 51% stake in Althio, with ABP owning the remaining 49%. The transaction is subject to approval by the works council and regulatory authorities.

The formation of Althio is a strategic move by KPN to optimize its passive infrastructure assets while maintaining flexibility. By launching this tower company, KPN strengthens its control over a significant share of its mobile sites, enabling greater synergy in network deployment, maintenance, and optimization. The partnership aims to enhance the value of KPN’s digital infrastructure and expand mobile service capabilities in the Netherlands.

The collaboration will focus on meeting performance standards, supporting the integration of new technologies, and extending network coverage to underserved areas. By combining their expertise, KPN and ABP aim to build a more resilient and efficient mobile network, driving the continued growth and development of the Netherlands’ digital landscape.
