The Italian Competition Authority has approved Swisscom’s acquisition of Vodafone Italia and accepted Swisscom’s behavioral commitments.
These commitments involve maintaining wholesale services for interested operators as per Fastweb’s existing practices and sharing information in public tenders for fixed telephony and connectivity services issued by the public administration, where Fastweb or Vodafone Italia is the current provider. An independent monitoring trustee will oversee the enforcement of these commitments, which will remain in effect for three years.

The Ministry of Enterprises and Made in Italy (MIMIT) has approved the transaction, granting unconditional clearance for the change of control over Vodafone Italia as the holder of spectrum licenses. The approval, issued on December 19, 2024, followed favorable opinions from the Italian Authority for Communications and the Italian Competition Authority.
The merged entity will combine the strengths of Fastweb and Vodafone Italia’s high-quality fixed and mobile infrastructures, expertise, and capabilities to provide significant benefits to Italian consumers and businesses.
Swisscom anticipates the transaction will be finalized by the first quarter of 2025.
